1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Archon Holdings Pte. Ltd., a company incorporated in Singapore ("Archon", "we", "us", "our"), governing your access to and use of rearchon.com and all associated Services.

By creating an account, accessing the Platform, or otherwise using the Services — including continued use following any amendment to these Terms — you represent that you have read, understood, and irrevocably agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately cease all use of the Platform and the Services.

Acceptance via electronic means, including the act of account creation or login, constitutes a valid and enforceable signature for the purposes of applicable Indonesian law.

2. Definitions

For the purposes of these Terms, the following capitalised terms have the meanings set out below:

  • Agent — an automated software workflow hosted on the Platform that analyses data, generates frameworks, and, where the User has expressly enabled trade-execution scope, places, modifies, or cancels orders on a Connected Exchange on the User's behalf.
  • Connected Exchange — a third-party cryptocurrency exchange account linked to the Platform by the User via Exchange Credentials.
  • Exchange Credentials — API keys, secrets, and associated parameters supplied by the User to authorise the Platform to communicate with a Connected Exchange.
  • Platform — the Archon web application accessible at rearchon.com and any successor domains operated by Archon.
  • Services — all features, tools, Agent workflows, data displays, and capabilities made available through the Platform.
  • Subscription — a recurring paid access plan to the Services, offered under the tiers described in Section 7.
  • Subscription Fee — the recurring monetary consideration payable by the User in exchange for a Subscription, denominated in Indonesian Rupiah (IDR).
  • Tier — the access level associated with a Subscription (Entry, Pro, Expert, or Billion), each conferring a defined feature set as published on the pricing page.
  • User Content — all data, inputs, prompts, portfolio information, watchlists, chat messages, and memory entries submitted by the User to the Platform.

3. Nature of Services

Archon is a software-as-a-service information and automation platform for the cryptocurrency market. Archon is not, and does not hold itself out to be, a securities broker, investment adviser, portfolio manager, fund manager, custodian, payment institution, or provider of any licensed financial service under the regulations of Otoritas Jasa Keuangan ("OJK"), Badan Pengawas Perdagangan Berjangka Komoditi ("Bappebti"), or any other regulatory authority in any jurisdiction.

No information, analysis, output, notification, or communication provided by the Platform or generated by any Agent constitutes financial advice, a recommendation or solicitation to buy, sell, or hold any digital asset, a guarantee of any specific investment outcome, or the establishment of any fiduciary or advisory relationship between Archon and the User.

All investment decisions, including any decision to act upon output generated by an Agent, are made exclusively by the User at the User's sole risk and discretion. Archon expressly disclaims any responsibility for losses, damages, or costs arising from any such decision.

4. Eligibility

Product to and use of the Platform is restricted to natural persons who: (i) are at least eighteen (18) years of age; (ii) possess the legal capacity to enter into a binding contract under the laws of their jurisdiction of residence; (iii) are not resident in, or subject to the laws of, any jurisdiction in which access to or use of the Services is prohibited or requires a licence or authorisation that Archon has not obtained; and (iv) are not named on any applicable sanctions list maintained by the United Nations Security Council, the Government of Indonesia, the United States Office of Foreign Assets Control, or any equivalent authority.

By using the Platform, you represent and warrant that you satisfy all eligibility requirements set out in this Section. If you are using the Platform on behalf of a legal entity, you further represent that you are duly authorised to bind that entity to these Terms.

5. Accounts and Security

You must provide accurate, current, and complete information at registration and must maintain such information in an up-to-date condition throughout the term of your account. You are solely responsible for the confidentiality of your account credentials and for all activities conducted through your account, whether or not authorised by you.

You must notify Archon immediately at info@rearchon.com upon becoming aware of any unauthorised access to or use of your account or credentials. Archon will not be liable for any loss or damage arising from your failure to comply with this obligation.

Accounts are personal and non-transferable. You may not share account access with any third party, create accounts on behalf of others, or operate multiple accounts for the purpose of circumventing Tier restrictions or usage limits.

6. Connected Exchanges and Agent Execution

The Platform enables you to link one or more Connected Exchanges by supplying Exchange Credentials. By providing Exchange Credentials, you: (i) represent and warrant that you are the sole authorised holder of the relevant exchange account; (ii) grant Archon a limited, revocable, non-exclusive licence to use those credentials solely to communicate with the Connected Exchange on your behalf for the purpose of delivering the Services; and (iii) acknowledge that Archon stores Exchange Credentials in encrypted form and does not transmit them to any party other than the designated Connected Exchange.

Where you have expressly enabled trade-execution scope for an Agent, that Agent may place, modify, and cancel orders on the Connected Exchange on your behalf. You acknowledge and accept each of the following risks and limitations without reservation:

  • Archon does not custody, hold, or control your digital assets at any time. All assets remain within your Connected Exchange account.
  • Automated order execution is contingent on the availability, reliability, and API behaviour of the Connected Exchange, which are entirely outside Archon's control.
  • Market conditions, exchange-imposed rate limits, API errors, and network disruptions may cause orders to execute at prices, times, or sizes materially different from Agent intent, or may prevent execution altogether.
  • Automated execution can result in partial or total loss of the capital deployed through the Agent. Past Agent performance, where displayed, does not constitute a guarantee or reliable indicator of future results.
  • You bear sole and exclusive responsibility for every order that originates from an Agent operating under authority you have granted, and for all resulting tax, reporting, and regulatory obligations.

You may revoke trade-execution scope or disconnect a Connected Exchange at any time through the Platform settings. Revocation is effective prospectively only; it does not affect orders already submitted to the exchange prior to revocation.

7. Subscriptions, Billing, and Renewal

The Services are available under the following Tiers: Entry, Pro, Expert, and Billion. Each Tier provides a defined feature set as published at rearchon.com/pricing, which Archon may update with prior notice in accordance with Section 17.

Paid Subscriptions are billed on a recurring monthly basis in IDR via Midtrans, Archon's third-party payment processor. By subscribing to a paid Tier, you authorise Archon to instruct Midtrans to charge your designated payment method the applicable Subscription Fee at the commencement of each billing period, automatically, without further approval, until the Subscription is cancelled.

All Subscription Fees are inclusive of applicable taxes unless expressly stated otherwise. If Archon is required by law to collect additional taxes, those amounts will be added to the Subscription Fee and disclosed to you before the next billing cycle. Archon will provide at least thirty (30) days' prior written notice of any change to Subscription Fees or Tier feature sets; continued use of the Services after such notice constitutes acceptance of the revised terms.

Archon does not issue refunds for any completed billing period, except to the extent required by mandatory provisions of Indonesian consumer-protection law. Cancellation takes effect at the end of the then-current billing period, after which access reverts to any applicable free-tier entitlement or ceases entirely. Downgrade requests take effect at the commencement of the next billing period; upgrade requests are effective immediately, with any prorated balance applied to the next invoice.

8. Acceptable Use

You agree not to use the Platform or the Services in any manner that:

  • Involves the systematic scraping, mirroring, caching, or harvesting of any data, content, or outputs from the Platform, whether by automated means or otherwise
  • Involves redistributing, reselling, sublicensing, or commercialising any Platform data, Agent outputs, or analytical frameworks to any third party
  • Uses Platform outputs, Agent outputs, or User Content submitted to the Platform to train, fine-tune, or evaluate any machine-learning or artificial-intelligence model without Archon's prior written consent
  • Involves reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code, architecture, or methodologies of the Platform or any Agent
  • Circumvents, disables, or interferes with any Tier gate, rate limit, authentication mechanism, or other security feature of the Platform
  • Involves sharing Exchange Credentials through the Platform with any party other than the designated Connected Exchange
  • Constitutes market manipulation, wash trading, spoofing, layering, or any other practice prohibited under applicable Indonesian law, exchange terms of service, or international financial-market standards
  • Involves impersonating Archon, Archon Holdings Pte. Ltd., any Archon affiliate, or any other person or entity
  • Interferes with or disrupts the integrity, performance, or availability of the Platform or its underlying infrastructure
  • Violates any applicable law, regulation, or regulatory guidance, including but not limited to OJK regulations, Bappebti regulations, and Indonesian Anti-Money Laundering Law (UU No. 8/2010)

Archon reserves the right to suspend or terminate access, with or without notice, in the event of any actual or suspected violation of this Section.

9. User Content and Licence

You retain all ownership rights in and to your User Content. By submitting User Content to the Platform, you grant Archon a worldwide, non-exclusive, royalty-free, sublicensable licence to host, reproduce, store, transmit, process, and display your User Content solely to the extent necessary to provide, operate, secure, and improve the Services for your benefit.

Archon will not use your User Content to train any publicly available foundation model or to derive insights for disclosure to any party other than you without your separate written consent.

You represent and warrant that: (i) you own or have the necessary rights and permissions in all User Content you submit; (ii) your User Content does not infringe any third-party intellectual-property right, privacy right, or applicable law; and (iii) Archon's exercise of the licence granted in this Section will not violate any obligation you owe to any third party.

10. Third-Party Data and AI Outputs

Market prices, order-book data, portfolio balances, and related financial information displayed on the Platform are sourced from third-party data providers, including CoinGecko and Connected Exchange API feeds. Archon makes no representation or warranty as to the accuracy, completeness, timeliness, or fitness for any particular purpose of such third-party data. You must independently verify all data before relying on it for any purpose.

Outputs generated by the Agents ("AI Outputs") are produced by large language model inference and may contain errors, omissions, hallucinations, or information that is out of date. AI Outputs are provided for informational purposes only. Archon expressly disclaims any warranty that AI Outputs are accurate, complete, or suitable for any specific purpose, including trading or investment decision-making.

11. Intellectual Property

All right, title, and interest in and to the Platform, including its software, algorithms, agent prompts and workflows, data compilations, designs, trademarks, service marks, trade names, and all other intellectual property embodied therein, are owned by or licensed to Archon Holdings Pte. Ltd. These Terms do not transfer any ownership interest in the Platform or its intellectual property to you.

Subject to your compliance with these Terms and payment of applicable Subscription Fees, Archon grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Services solely for your own personal, non-commercial purposes during the term of your Subscription. This licence terminates immediately upon expiry or termination of your account or Subscription.

12. Confidentiality

Each party agrees to maintain in strict confidence any non-public, proprietary, or commercially sensitive information of the other party disclosed in connection with the Services ("Confidential Information"), and not to disclose such information to any third party or use it for any purpose other than as required to perform obligations or exercise rights under these Terms. This obligation does not apply to information that: (i) is or becomes publicly available through no act or omission of the receiving party; (ii) was already in the receiving party's possession prior to disclosure; (iii) is independently developed by the receiving party without reference to the Confidential Information; or (iv) is required to be disclosed by law or court order, provided the receiving party gives the disclosing party reasonable prior written notice to the extent permitted.

13. Disclaimers

THE PLATFORM AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ARCHON EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE.

Archon does not warrant that the Platform will be uninterrupted, error-free, or free from harmful components, that any defect will be corrected, or that the Platform or the servers that make it available are free of viruses or other harmful elements. Archon makes no warranty regarding any specific investment return or financial outcome arising from use of the Services.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARCHON HOLDINGS PTE. LTD. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE PLATFORM OR THE SERVICES, EVEN IF ARCHON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall Archon's total aggregate liability to you for all claims arising out of or relating to these Terms exceed the greater of: (a) the total Subscription Fees paid by you to Archon in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) IDR 1,000,000 (one million Indonesian Rupiah). This limitation applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise.

Nothing in these Terms limits or excludes liability that cannot be excluded under mandatory provisions of Indonesian law, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence.

15. Indemnity

You agree to indemnify, defend, and hold harmless Archon Holdings Pte. Ltd. and its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (i) your breach of any representation, warranty, or obligation under these Terms; (ii) your use or misuse of the Platform or the Services, including any Agent execution initiated under your authority; (iii) your violation of any applicable law, regulation, or third-party right, including the terms of service of any Connected Exchange; or (iv) any User Content you submit to the Platform.

16. Suspension and Termination

Archon reserves the right to suspend or terminate your access to the Platform and the Services, with or without prior notice, in circumstances including but not limited to: (i) your actual or suspected breach of these Terms; (ii) your engagement in fraudulent, abusive, or unlawful conduct in connection with the Services; (iii) a request or requirement from a regulatory authority or law-enforcement body; (iv) your identification on any applicable sanctions list; or (v) non-payment of any Subscription Fee that remains outstanding beyond ten (10) days after its due date.

Upon termination or expiry of your account for any reason, your right to access the Platform ceases immediately. Sections 2, 9, 11, 12, 13, 14, 15, 18, and 19 of these Terms shall survive termination indefinitely. Archon will handle your personal data following termination in accordance with the Privacy Policy.

17. Changes to These Terms

Archon may revise these Terms at any time. In the case of material changes, Archon will notify you by email to your registered address and by in-Platform notice at least fourteen (14) days before the revised Terms take effect. Non-material corrections or clarifications may be implemented without advance notice.

Your continued access to or use of the Platform after the stated effective date of any revised Terms constitutes your irrevocable acceptance of those Terms. If you do not accept a revised version, you must cease use of the Platform and, if applicable, cancel your Subscription before the effective date.

18. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to its conflict-of-laws principles. The parties irrevocably submit to the exclusive jurisdiction of the District Court of Central Jakarta (Pengadilan Negeri Jakarta Pusat) for the resolution of any dispute, controversy, or claim arising out of or in connection with these Terms or the Services, without prejudice to any mandatory rights you may have under applicable Indonesian consumer-protection law.

19. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy and any supplemental terms published on the Platform, constitute the entire agreement between you and Archon with respect to the Services and supersede all prior agreements, representations, and understandings relating to the same subject matter.

Severability. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

No Waiver. Archon's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision unless acknowledged and agreed to in writing by Archon.

Assignment. Archon may assign these Terms or any of its rights or obligations hereunder to any affiliate of Archon Holdings Pte. Ltd. or to a successor entity in connection with a merger, acquisition, or sale of all or substantially all of its assets, without your consent. You may not assign these Terms or any of your rights or obligations hereunder without Archon's prior written consent. Any purported assignment in violation of this provision is void.

Force Majeure. Archon shall not be liable for any delay or failure in performance caused by circumstances beyond its reasonable control, including acts of God, war, civil unrest, acts of government, natural disasters, internet or telecommunications outages, or exchange-side system failures.

Language. These Terms are drafted in English, which shall be the controlling language for all purposes. A Bahasa Indonesia translation may be made available for convenience; in the event of any conflict or inconsistency, the English text shall prevail.
